What Is the Georgia Annual Registration?
The annual registration is the yearly filing that keeps your entity's public record current with the Georgia Secretary of State, Corporations Division. For an LLC, the filing confirms two things: your registered agent (with the agent's Georgia street address and county) and your principal office address. Georgia's LLC annual registration does not collect or list members or managers; there is no field for them on the form. Corporations, by contrast, report their officers on the equivalent filing.
Two related limits are worth knowing in advance. Your entity name and entity type cannot be changed on the annual registration; those require a separate amendment filing. And if you need to correct an annual registration you already submitted, the state provides the Amended Annual Registration for LLC, Form CD 920, for that purpose.
Georgia Annual Report Due Date: April 1
The annual registration is due by April 1 every year, and the filing window opens on January 1. This is a fixed calendar deadline for all Georgia LLCs; it is not tied to your formation anniversary. Your first annual registration is due in the calendar year after the year your LLC was formed.
Georgia also permits multi-year filing. You may submit for one, two, or three consecutive years in a single session, paying the per-year fee for each year covered.

Multi-year filings follow the same per-year arithmetic: $60 for one year, $120 for two consecutive years, $180 for three. The current amounts appear on the Secretary of State's official fee schedule.
How to File Your Georgia Annual Registration
The Secretary of State publishes an official how-to guide for this filing. The standard procedure:
- Go to the eCorp portal at ecorp.sos.ga.gov. If nothing on your record is changing and your entity is current on all annual registration fees, the One Click Annual Registration option lets you file without logging in.
- If any information is changing, such as your registered agent or principal office address, log in to eCorp and complete the full Annual Registration form instead; One Click cannot be used when information changes.
- Review the registered agent and principal office details on the form and update whatever has changed.
- Pay the $60 fee (or $120 or $180 if you are covering two or three years) and submit. Keep the confirmation for your records.
Prefer paper? Print the form from eCorp and mail it to the Corporations Division with payment; the $60 total is identical for mail filing.
Late Filing: The $25 Penalty and Administrative Dissolution
There is no grace period after April 1. An annual registration filed late incurs an additional $25 penalty on top of the $60 fee. The consequences escalate from there: a Georgia LLC that remains delinquent for two consecutive years is subject to administrative dissolution under O.C.G.A. § 14-11-1103. A foreign LLC in the same position faces revocation of its Certificate of Authority instead, and a revoked foreign LLC generally must re-qualify rather than simply reinstate.
Dissolution suspends the benefits of your entity status, complicates financing and contracts, and puts your business name at risk while you work through reinstatement. Timely filing avoids all of it.
